AI NDA review playbook

AI can help summarize dense clauses and compare wording to an approved checklist. It should not give legal advice, approve terms, or decide acceptable risk.

The playbook should route every meaningful deviation, ambiguity, jurisdiction issue, or unusual obligation to a qualified reviewer.

1. Confirm whether the NDA can be processed in the approved tool.
2. Compare sections against the organization’s approved checklist.
3. Summarize confidentiality, term, exclusions, return/destruction, residuals, and permitted disclosure language.
4. Flag deviations, missing provisions, and ambiguous obligations.
5. Prepare a review packet for legal or the contract owner.

NDA review often appears before RFPs, demos, diligence, and vendor negotiations. That makes it a useful specialized playbook within a procurement or vendor-management content cluster.
